6. Payment, Commissions and Lifetime Earnings
6.1 Company uses a third party payment company, PayPal, to handle any payments due to Affiliate. You will be subject to such party’s terms and conditions. In order to receive commissions due to you, and in order to receive them timely, you must have an active PayPal account, in good standing, and such account must be registered to the same e-mail address as your Affiliate Account. Alternatively, you can add a ‘billing e-mail’ address to your Affiliate account which corresponds to your PayPal e-mail address. Payments of commissions occurs on the 10th day of each calendar month. If such day falls on a weekend, federal holiday or banking holiday, payments will be made on the next available business day.
6.2 Commissions are earned pursuant to the six commission tiers posted in the Affiliate area of our Store. For purposes of this Agreement, commissions earned means the total amount of commissions Affiliate has ever earned as a member of this Program under the respective Affiliate user account. Affiliates who operate more than one Affiliate account are not eligible to combine their account commissions to advance to a higher commission tier. An Affiliate will automatically be upgraded to the next commission tier upon having earned the required total commissions to advance to the next tier. If an Affiliate advances to a higher tier on any day prior to the end of a calendar month, all commissions paid for such month will be paid out at such higher tier.
6.3 Affiliates will earn commissions on each purchase from a new customer in our Store (a “Referred Customer”) so long as the Referring Customer making such purchase is making his, her or its first-ever purchase in the Store and such first-ever purchase was made using (i) a valid Tracking URL issued by Affiliate, or (ii) a direct link to any page within the Store from a website owned or maintained by Affiliate, which was at the time of Referred Customer’s purchase authorized by the Company as a Direct Link domain name in the Affiliate management dashboard; and (iii) such first-ever purchase was made within 14 days after Referred Customer first clicked on such Tracking URL or Direct Link.
6.4 Company tracks customer referrals via cookies. When a new potential customer first visits the Store via a Tracking URL or Direct Link, an entry is stored via a text file on such potential customer’s web browser, also known as a cookie. The stored cookie identifies the respective Affiliate being responsible for the referral. Company’s cookies are valid for 14 days. Therefore, potential customers who click a Tracking URL or Direct Link but wait longer than 14 days to make their first purchase in the Store will not be recognized as a Referred Customer and no commissions will be earned on such purchases. Furthermore, web browsers allow cookies to be disabled and/or cleared, both manually and automatically depending on the web browser used. Company is not responsible for missed commissions and Affiliate indemnifies and holds Company harmless from missed revenue as a result of customers (i) blocking their cookies, (ii) limiting their cookies settings in such form that they are not recognizable by our website, (iii) clearing or removing their cookies via their web browser prior to making their first purchase, or (iv) waiting longer than 14 days after first clicking on a Tracking URL or Direct Link to make their first purchase in the Store.
6.5 Affiliates will continue to earn commissions on all future purchases made by a Referred Customer so long as Affiliate is in good standing in this Program, has not breached this Agreement, and is an Active Affiliate in the Program. “Active Affiliate” means an Affiliate who generates a minimum number of three (3) separate commissions per calendar year, irrespective of the dollar value of such commissions. Therefore, Affiliate must have one or more Referred Customers who make a minimum number of three (3) separate purchases within a given calendar year to be considered an Active Affiliate. Affiliates who generate less than the required number of commissions at the conclusion of a calendar year will stop earning residual commissions on all additional purchases made by their existing Referred Customers during the following calendar year as well as any future calendar year, until Affiliate has become an Active Affiliate again at the conclusion of any such calendar years. During any calendar year where Affiliate is not considered an Active Affiliate, commissions are earned on the first purchase of a Referred Customer only. Once Affiliate has become an Active Affiliate again, residual commissions earned on all future purchases made by a Referred Customer will be enabled again as of the 1st day of the following calendar year. Affiliate agrees and understands that Affiliate forfeits all commissions that could have been earned during a calendar year as a result of not being an Active Affiliate at the conclusion of such year.
7. Access to Affiliate Account Interface
You will create a password so that you can access secure affiliate account interface. If you previously had a user account on our website (e.g.: you made a purchase in our store before), it will not be necessary to create a new password and you can use your existing user account to sign up as an Affiliate. Our Affiliate Account Manager provides you with all the information and tools you will need to manage your account.
8. Promotion Restrictions
8.1. You are free to promote your own websites, but naturally any promotion that mentions the Company could be perceived by the public or the press as a joint effort. You should know that certain forms of advertising are always prohibited by the Company. For example, advertising commonly referred to as “spamming” is unacceptable to us and could cause damage to our name and reputation. Other generally prohibited forms of advertising include the use of unsolicited commercial email (UCE), postings to non-commercial newsgroups and cross-posting to multiple newsgroups or social media groups at once. In addition, you may not advertise in any way that effectively conceals or misrepresents your identity, your domain name, or your return email address. You may use mailings to customers to promote the Company so long as the recipient is already a customer or subscriber of your services or website, and recipients have the option to remove themselves from future mailings. At all times, you must clearly represent yourself and your websites as independent from the Company. If it comes to our attention that you are spamming, we will consider that cause for immediate termination of this Agreement and your participation in the Program. We will do everything possible to contact the affiliate prior to the ban. However, we reserve the right to expel any trademark violator from our Program without prior notice, and on the first occurrence of such bidding behavior.

As used herein a “Parasiteware™” and “Parasitic Marketing” shall mean an application that (a) through accidental or direct intent causes the overwriting of affiliate and non affiliate commission tracking cookies through any other means than a customer initiated click on a qualifying referral link on a web page or email; (b) intercepts searches to redirect traffic through an installed software, thereby causing, pop ups, commission tracking cookies to be put in place or other commission tracking cookies to be overwritten where a user would under normal circumstances have arrived at the same destination through the results given by the search; (c) set commission tracking cookies through loading of Company’s site in IFrames, hidden links and automatic pop ups that open our website; (d) targets text on websites, other than those websites 100% owned by the application owner, for the purpose of contextual marketing; (e) removes, replaces or blocks the visibility of Affiliate banners with any other banners, other than those that are on websites 100% owned by the owner of the application.
